Privacy Policy

1. Introduction

InstaClock L.L.C. (“InstaClock,” “InstaClock Staffing,” “we,” “us,” or “our”) provides an on-demand staffing service that helps businesses (“Customers”) connect with independent professionals (“InstaClockPROs”) for short-term work opportunities.

When you use our services as a Customer or an InstaClockPRO (each a “user,” and collectively “users” or “you”), you may provide us with information about yourself. This Privacy Policy explains the categories of information we collect, how we use and disclose it, and the choices available to you concerning your information, including requests to access, correct, or delete it and to deactivate your account.

This policy applies to information collected through our websites, Web Application, Web-App, and related services and communications (collectively, the “Service”). It forms part of the applicable Terms of Service or Customer Agreement governing your use of the Service. If you have questions, contact InstaClock through the support channels identified in the “Contact Us” section. Support links and contact details should be confirmed and completed before this policy is published.

2. Information We Collect

We collect personal information (“Personal Data”) in three general ways: information you provide directly, information generated when you use the Service, and information received from other users or third parties. The specific information collected depends on how you interact with the Service.

Information You Provide

We collect information when you register for an account, use features of the Service, or otherwise communicate with us.

If you use the Service as an InstaClockPRO, we may collect information needed to create and administer your account, notify you about available work, provide work-related information and updates, verify arrival and departure for accepted assignments, and arrange payment for completed work.

If you use the Service as a Customer, we may collect information needed to establish and manage your account, publish Work Requests, communicate updates about those requests, and bill you for work performed and use of the Service.

Information Collected Through Use of the Service

We may collect information when you visit our website, use the Web Application, interact with a Customer’s website, visit a worksite, or contact our support team. This may include information you choose to provide and information reasonably needed to respond to your inquiry or resolve an issue.

Examples of information collected through use of the Service include:

**Registration information.** When you create an account, we may collect your name, telephone number, mailing address, ZIP code, location, email address, professional title, photograph, company name, signature, and account password.

**Information collected by authorized service providers.** Service providers acting on our behalf, such as payment processors, may collect information necessary to provide their services. Depending on the service, this may include payment-card details, bank-account information, contact information, a driver’s license or passport, Social Security number, and location data. Such information may be used for purposes such as verifying attendance at accepted assignments and arranging payment.

**Communications and support records.** We may retain information you provide when contacting us, including your name, email address, details used to verify your identity or account, feedback, and the contents of your messages, so we can respond and maintain records of our interactions.

**Public profiles and forums.** If you create a public profile, participate in an event or service, or post in a public support forum, information you submit may be visible to other users who can access that profile, event, or forum. Content posted in these areas may be stored on our systems and shared in accordance with the applicable settings and features.

**Usage and device information.** We may collect information about how and when you use the Service, including access dates and times, pages or features viewed, errors or crashes, system activity, browser type, and third-party websites or services used immediately before interacting with our Service.

**Website technologies.** Our website may use cookies and similar technologies to operate correctly, protect the Service, remember preferences, and provide a more relevant experience. Information collected may include your IP address, device identifiers and type, operating system, browser type, language, and browsing activity. We may associate cookie-related information with Personal Data you provide. Please review the applicable InstaClock Cookie Policy for additional details. Any link to that policy should be inserted and verified before publication.

**Location information.** When you use the Service, we may collect location information, including through GPS or similar device capabilities, where permitted by your device settings and applicable law. The Service may use Google Maps features or content. Your use of those features is subject to the then-current Google Maps/Google Earth Additional Terms of Service and Google Privacy Policy.

Information from Users and Other Sources

We may receive information about you from other users and third parties and combine it with information collected directly from you or through your use of the Service. For example, an InstaClockPRO’s information may be provided by a Customer. We may also obtain information from publicly available or commercially available sources. If you provide us with another person’s Personal Data, you are responsible for having the permission or other lawful basis needed to share it with us.

3. How We Use Information

We use Personal Data to operate and provide the Service, improve our offerings, support relationships among users, protect users and the Service, and provide relevant information and experiences.

**Providing and administering the Service.** We may use Personal Data to create, maintain, and secure accounts; identify users; administer the Service; verify email addresses; send service and administrative notices; deliver alerts you have configured; notify InstaClockPROs about Work Requests and other opportunities; facilitate payment for completed work; bill Customers; and send promotional communications where permitted.

**Developing and improving the Service.** We may use information to assess, develop, test, and improve existing or new products, Web Application features, and related services. We may also use information to promote the Service and help present work opportunities that may be relevant to InstaClockPROs.

**Telephone and text communications.** By providing a telephone number and giving any consent required by law, you may be contacted by telephone or SMS, including for service-related purposes. Message and data rates may apply. You may opt out of promotional or other eligible messages using the instructions included in the message. Any InstaClock terms, privacy notices, and messaging consent language should be linked here once the appropriate InstaClock URLs have been confirmed.

**Supporting relationships between users.** If you are an InstaClockPRO, we may share relevant Personal Data, such as your contact information and photograph, with Customers to communicate about an accepted assignment, support accurate timekeeping, and allow communication about current or future Work Requests. We may also share limited information with other InstaClockPROs when needed to coordinate work or provide referral-related features.

Depending on the referral feature and the applicable settings, information shared with a referring or referred InstaClockPRO may include your photograph; account registration or status information; whether and when you accepted or completed an initial assignment; a Customer rating associated with that assignment, if applicable; telephone number and email address; recent assignment history, including dates, times, locations, and Customers; and upcoming assignments, including dates, times, locations, estimated compensation, and the Customers who posted them. Customers may retain contact details they received in connection with an assignment after the assignment ends.

Location data from your device may be used to help identify relevant Work Requests and support timekeeping accuracy. Depending on your device permissions and settings, location information may be collected while the Web Application or related feature is active. You can adjust location permissions in your device settings; however, disabling location access may limit location-dependent functions or notifications.

**Safety and security.** We may use Personal Data to protect the security and integrity of our websites, Web Application, Web-App, accounts, and related services; detect and prevent fraud or misuse; and investigate potential security incidents.

**Marketing, advertising, and content.** Where permitted by law, we may use information about your use of our websites, Web Application, Web-App, and related services, together with information you provide or authorize us to access, to evaluate and improve advertising, measure campaign effectiveness, and personalize communications or advertisements based on factors such as location or interests.

To the extent permitted by applicable law, you grant InstaClock a worldwide, non-exclusive, transferable, sublicensable, royalty-free license to use, reproduce, modify, create derivative works from, transmit, publish, display, perform, and distribute content you submit to or share with InstaClock, in its original or edited form. This license is intended to support activities such as developing the InstaClock community, conducting marketing and analysis, preparing statistical assessments, and maintaining or improving the Service. This provision should be reviewed by legal counsel to ensure it matches the content types collected and the intended scope of use.

**InstaClockPRO SMS messages.** InstaClock may send SMS messages, including messages identified as “InstaClock Alerts,” to users who have consented to receive text messages during registration, account setup, or use of the Service. Messages may include account or Work Request notifications, responses to inquiries initiated by users, customer-care communications, and other messages related to a user’s interaction with InstaClock and its services.

Message frequency may vary based on account activity, assignment status, and support needs. Standard message and data rates may apply. For assistance, users should reply **HELP** or contact InstaClock support using the verified contact details published by InstaClock. Users may opt out of eligible SMS messages at any time by replying **STOP**. Wireless carriers are not responsible for delayed or undelivered messages.

4. How We Share Information

We may disclose Personal Data in the circumstances described below.

**Authorized service providers.** We may provide Personal Data to vendors and service providers that perform services for us, including payment processing, timekeeping and attendance verification, customer support, website and cloud hosting, information technology, fraud prevention, direct mail and email distribution, event or promotion administration, marketing, and analytics. We may also share aggregated or de-identified information with third parties for legitimate business purposes. We may use third-party cloud storage and hosting providers, including providers such as Amazon Web Services, to maintain information. Service providers are given only the information reasonably needed to perform their assigned services.

**Legal compliance, safety, and security.** We may disclose Personal Data when we reasonably and in good faith believe disclosure is necessary to comply with legal process or a lawful governmental or regulatory request; comply with applicable laws or regulations; investigate or enforce a suspected violation of an agreement or policy; protect the rights, property, or safety of InstaClock, users, third parties, or the public; or detect, prevent, and address fraud or security issues. This may include responding to subpoenas, warrants, or other valid legal demands.

**Corporate transactions.** If InstaClock is involved in a merger, acquisition, financing, restructuring, or sale of all or part of its assets, Personal Data may be disclosed to relevant parties as reasonably necessary to evaluate or complete the transaction, subject to applicable law.

**No sale of Personal Data.** InstaClock does not sell Personal Data. We do not disclose Personal Data except as described in this policy or as otherwise permitted by law. Mobile phone information, including SMS opt-in data and consent records associated with a phone number, will not be shared with third parties or affiliates for their own marketing or promotional purposes. Text-messaging originator opt-in data and consent information are excluded from other categories of information that may be shared and will not be disclosed to third parties except as necessary to provide the messaging service or as required by law.
